Many of our clients are early stage businesses that obtain their financing from sources other than banks and traditional lending institutions. We advise these clients in private placements of debt and equity securities from alternative funding sources. These transactions include the preparation of private offering memoranda, subscription shareholder and rights agreements, and filings in conformance with federal and state securities and blue sky laws.
