Acquisitions and Divestitures

Traditional real estate acquisitions and divestitures are an integral part of our real estate practice. Our group has been involved in many high profile transactions, including:

  • Buyer's local counsel in the acquisition of approximately 100 acres of mixed use property in the South End of Stamford, Connecticut.
  • Buyer's counsel in the acquisition of two Class A office buildings, as a corporate headquarters, on contiguous properties in Westport, Connecticut consisting of approximately 70,000 rsf at a purchase price in excess of $32 million.
  • Buyer's counsel in the acquisition, and subsequent leasing, of a Class A office building in Greenwich, Connecticut consisting of 95,000 rsf at a purchase price in excess of $35 million.
  • Seller's counsel in the sale of a Class A office building in New Canaan, Connecticut for approximately $12 million.
  • Buyer's counsel in the acquisition of a Class A office building in White Plains, New York for approximately $26 million.
  • Buyer's co-counsel in the acquisition of a Class A office building in Washington, D.C. for approximately $30 million.

    Real Estate Finance

    Our real estate finance practice specializes in complex and highly structured financing transactions. Our lawyers represent institutional lenders and borrowers in financings that include loan originations, structured finance, mezzanine debt, loan participations, syndications, preferred equity, and workouts and restructurings. Our institutional lender clients include: Citibank, N.A., Patriot National Bank, Webster Bank, People's Bank, Union State Bank, TD Bank, N.A., Westport National Bank and The Bank of New York.

    Commercial Leasing

    Our commercial leasing group regularly handles retail and office lease transactions both locally and nationally. Significant leasing transactions include:
  • Landlord's counsel, in the leasing of a 150,000 rsf signature Class A office building, formerly the headquarters of a Fortune 500 company and located in Greenwich, Connecticut.
  • Landlord's counsel in leasing of 400,000 rsf Class A waterfront office building in Stamford, Connecticut.
  • Landlord's counsel, in the leasing of a three building Class A office complex, consisting of approximately 230,000 rsf and located in Greenwich, Connecticut.
  • Counsel to Fortune 500 company in the conversion of a 200,000 rsf Class A headquarters in Greenwich, Connecticut from a single tenant net lease to a multi-subtenant gross lease building.
  • Tenant's counsel for a nationally based client in the leasing of office space in Michigan, Ohio, Minnesota, Texas, Seattle and California.
  • Tenant's counsel in leasing of 80,000 rsf headquarters in a Class A office building in Norwalk, Connecticut.
  • Counsel to NASDAQ listed tenant in leasing office space in Texas, California, Nebraska, Montreal and Toronto.

  • Real Estate Development and Construction

    We represent real estate developers in all stages of the development process, from land acquisition and assemblage, arranging senior and subordinate construction financings, forming joint ventures, preparing and negotiating contracts with architects, engineers, property managers, brokers and construction companies, and arranging for divestitures and permanent financings. We have advised on the development of major office buildings, complex mixed-use projects, substantial residential projects, hotels, and retail centers.

    We have experience in custom and industry standard form contracts, including fixed price, cost plus and guaranteed maximum price (GMP) formats, and construction project delivery options, such as design/build, general contractor, construction management and turnkey methods, as well as issues relating to bidding documents, performance, payment and completion guarantees, and mechanics liens and waivers.

    Restructurings and Workouts

    We advise on loan restructurings, workouts and reorganizations, both inside and outside of bankruptcy, for lenders and borrowers.
